1. Agreement to Terms
By accessing our website at apaon.com.au or engaging our services, you agree to be bound by these Terms and Conditions and our Privacy Policy.
If you do not agree to these terms, please do not use our website or services. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.
These terms constitute a legally binding agreement between you ("Client", "you", or "your") and Apaon ("we", "us", or "our").
2. Services Description
Apaon provides digital services to businesses on a monthly subscription basis. Our services include, but are not limited to:
- Website maintenance and updates
- Social media management
- Content creation and management
- Security monitoring and maintenance
- Performance optimisation
- Analytics and reporting
- Digital marketing support
Service Packages
We offer three main service packages: Essential, Growth, and Premium. Each package includes a defined scope of services as outlined on our Services page. Additional services may be added as add-ons to your package.
Service Delivery
- Services are delivered on a monthly cycle, commencing from your subscription start date.
- Work is scheduled and prioritised based on your package inclusions.
- Response times and turnaround vary by package level as specified in your service agreement.
- We reserve the right to modify our service offerings with reasonable notice.
3. Payment Terms
Billing
- Monthly billing: Services are billed monthly in advance on the same date each month.
- Payment methods: We accept credit card, direct debit, and bank transfer.
- Currency: All prices are quoted in Australian Dollars (AUD) and are inclusive of GST.
- Late payments: Invoices are due within 7 days. We reserve the right to suspend services for overdue accounts.
Cancellation
- No lock-in contracts: All our packages are month-to-month with no long-term commitment required.
- Notice period: To cancel your subscription, provide at least 14 days written notice before your next billing date.
- Refunds: We do not provide refunds for partial months. Your services will continue until the end of the current billing period.
- Reactivation: Cancelled accounts may be reactivated at any time, subject to current pricing.
Price Changes
We reserve the right to modify our pricing with 30 days written notice. Price changes will not affect your current billing cycle.
4. Intellectual Property
Your Content
- You retain full ownership of all content, images, and materials you provide to us.
- You grant us a licence to use your content solely for the purpose of delivering our services.
- You warrant that you have the right to use all content you provide and that it does not infringe third-party rights.
Our Work
- Work created by Apaon specifically for you (custom designs, content, etc.) becomes your property upon full payment.
- We retain ownership of our proprietary tools, templates, processes, and methodologies.
- We may use anonymised examples of our work for portfolio and marketing purposes unless otherwise agreed.
Third-Party Assets
Where we use third-party assets (stock images, fonts, plugins), these remain subject to their respective licence terms. We will advise you of any ongoing licence requirements.
5. Limitation of Liability
Service Warranty
We provide our services with reasonable care and skill. However, we do not guarantee:
- Specific results, rankings, or outcomes
- Uninterrupted or error-free service
- That our services will meet all your requirements
- The performance of third-party platforms (social media, hosting, etc.)
Limitation
To the maximum extent permitted by Australian Consumer Law, our liability for any claim arising from our services is limited to the fees paid by you in the 3 months preceding the claim.
We are not liable for:
- Indirect, consequential, or incidental damages
- Loss of profits, revenue, or business opportunities
- Loss of data (you are responsible for maintaining your own backups)
- Damages arising from third-party services or platforms
Indemnification
You agree to indemnify and hold Apaon harmless from any claims, damages, or expenses arising from your breach of these terms or your use of our services.
6. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of New South Wales.
Nothing in these terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
7. Changes to Terms
We may update these Terms and Conditions from time to time. Changes will be posted on this page with an updated "Last updated" date.
For material changes that affect your rights or obligations, we will provide at least 30 days notice via email before the changes take effect.
Your continued use of our services after changes take effect constitutes acceptance of the revised terms.

Additional Terms
Confidentiality
We will keep your business information confidential and will not share it with third parties except as necessary to deliver our services or as required by law.
Force Majeure
Neither party will be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or internet outages.
Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and Apaon regarding our services.
